AN ACT to amend and consolidate the law relating to companies; to establish the Office of the Registrar of Companies; and to provide for related matters.PASSED by Parliament and assented to by the President:

Chapter ONE
PRELIMINARY PROVISIONS

1. Application of Act

(1)Except as otherwise provided, this Act applies to companies formed in the Republic, whether before or after the commencement of this Act.
(2)This Act does not affect the validity of anything done before the date when the Act comes into operation.

2. Application of particular chapters

(1)Chapter Two applies to all companies.
(2)Chapter Three applies to private companies.
(3)Chapter Four applies to public companies.
(4)Chapter Five applies to external and non-Ghanaian companies.
