UBAEZONU, JCA (DELIVERING THE LEADING JUGDMENT): The appellant which was the plaintiff in the lower court is a limited liability public company operating under the Companies and Allied Matters Act. It had a factory at Nachi in Enugu State where it carries on business as a vegetable - oil industry. It was formerly owned by the former Anambra State Government which financed the erection of the factory buildings and the importation and installation of the plants. In or about 1985, the Anambra State Government entered into technical agreement with the East India Produce Company Limited for the development of the company and eventual hand - over of its management to Nigerians. The former Anambra State Government held 35% of the shares while the East India Produce Company Limited held 37.49%.
