OLASUMBO OLANREWAJU GOODLUCK, JCA (Delivering the Leading Judgment): This is an appeal against the judgment delivered by Hon. Justice V.C. Ajogwu in suit no. E/806./2019 on the 23rd September, 2021 at the Enugu State High Court sitting at the Enugu Judicial Division.

The Appellants who were the Defendants in the lower Court are former Chairman Board of Directors, former Secretary, former Treasurer and former Members of the Board of Directors of the Medical Workers Multipurpose Co-operative Society Limited, MHWMPC, LTDN, UTH, Ituku/Ozalla, Enugu whilst the first to the ninth respondents are the current executive committee members of MHWMPC LTD, the 10th Respondent.

 By virtue of Section 13 of the MHWMPCS Bye law, the Executive members of the MHWMPCS are to hold a general meeting at least once every three months.
